Abstract

PT HKI sebagai tumpuan dari PT Hutama Karya menjadi harapan besar untuk meningkatkan asset dan laba perusahaan yaitu dengan melakukan akuisisi terhadap PT Bhirawa Steel. Motif PT HKI melakukan akuisisi kepada PT Bhirawa Steel yaitu menjamin suplai kepada PT HKI melalui Besi beton sebagai material dominan pada bisnis kontruksi serta pengawalan lebih dini terhadap PT Bhirawa Steel untuk meningkatkan pemasaran terhadap PT Bhirawa Steel melalui level bisnis inti yaitu Jasa Kontruksi. Konsumsi baja pun turut diperkirakan meningkat hingga tahun 2024, sejalan dengan rencana pengembangan proyek infrastruktur yang massive. Penelitian ini menjabarkan analisis uji beda kinerja keuangan perusahaan terdiri dari strategi penelitian, proses penelitian yang meliputi variabel penelitian, instrumen penelitian, proses pengambilan data, dan metode analisa data. Hasil penelitian akan menunjukkan bahwa akuisisi yang dilakukan oleh PT HKI terhadap PT Bhirawa Steel secara keseluruhan, akuisisi PT. Bhriawa Steel memberikan dampak positif terhadap kinerja keuangan PT. HKI. Pada uji pengaruh bahwa variabel Due Diligence (X1) memiliki pengaruh positif signifikan sebesar 0,070 terhadap Kinerja Keuangan (Y1). Variabel Budaya Organisasi (X2) memiliki pengaruh positif signifikan sebesar 0,023 terhadap Kinerja Keuangan, sementara variabel Aspek Kepemimpinan (X3) memiliki pengaruh positif signifikan sebesar 0,187 terhadap Kinerja Keuangan.

PT HKI, as a subsidiary of PT Hutama Karya, is seen as a great hope to improve the assets and profits of the company by acquiring PT Bhirawa Steel. The motive behind PT HKI's acquisition of PT Bhirawa Steel is to ensure the supply of reinforced steel to PT HKI as a dominant material in the construction business, as well as to have early control over PT Bhirawa Steel to enhance its marketing through the core business of Construction Services. The consumption of steel is also expected to increase until 2024, in line with massive infrastructure development plans. This research describes the analysis of the financial performance of the company, including the research strategy, research process involving research variables, research instruments, data collection process, and data analysis methods. This study considers the issue of acquisition decision-making and its impact on the company success. The results of the research will show that the acquisition conducted by PT HKI of PT BS overall has a positive impact on the financial performance of PT HKI. In terms of the influence test, the variable Due Diligence (X1) has a significant positive impact of 0.070 on Financial Performance (Y1). The variable Organizational Culture (X2) has a significant positive impact of 0.023 on Financial Performance, while the Leadership Aspect (X3) has a significant positive impact of 0.187 on Financial Performance
