Abstract

Regulasi free float menjadi salah satu ketentuan yang diterapkan oleh Bursa Efek Indonesia (BEI) kepada perusahaan terbuka untuk mendukung likuiditas saham, pembentukan harga wajar, dan meningkatkan perlindungan investor publik. Namun, pemenuhan ketentuan tersebut menjadi tantangan bagi perusahaan terbuka dengan struktur kepemilikan saham yang terkonsentrasi. PT Solusi Bangun Indonesia Tbk (SMCB) merupakan salah satu perusahaan yang menghadapi kondisi tersebut karena kepemilikan saham publik sebesar 1.32% lebih rendah dari ketentuan minimum BEI sebesar 7.5%. Penelitian ini bertujuan mengidentifikasi faktor strategis yang memengaruhi keputusan perusahaan, merumuskan alternatif strategi korporasi, serta menentukan strategi yang paling tepat bagi SMCB dalam merespons ketentuan free float. Penelitian dilakukan menggunakan pendekatan studi kasus kualitatif melalui wawancara semi terstruktur terhadap enam Subject Matter Expert (SME) serta analisis data sekunder yang berasal dari laporan perusahaan, regulasi, dan literatur yang relevan. Data di analisis menggunakan Matriks IFE, Matriks EFE, Matriks IE, Matriks SWOT, Matriks Grand Strategy Matrix, dan Quantitative Strategic Planning Matrix (QSPM). Hasil penelitian menghasilkan tiga alternatif strategi, yaitu meningkatkan free float, strategic investor partnership, dan voluntary delisting. Berdasarkan hasil QSPM, voluntary delisting menjadi pilihan strategi yang terbaik dengan nilai Sum Total Attractiveness Score (STAS) sebesar 5.852. Penelitian ini menyimpulkan bahwa pemenuhan persyaratan free float pada perusahaan dengan kepemilikan saham terkonsentrasi perlu dipandang sebagai isu strategi korporasi, bukan sekadar sebagai kewajiban kepatuhan terhadap regulasi.

Free float requirements are regulatory instruments introduced by the Indonesia Stock Exchange (IDX) to improve stock liquidity, facilitate fair price discovery, and strengthen investor protection. However, compliance remains a challenge for publicly listed companies with concentrated ownership structures. PT Solusi Bangun Indonesia Tbk (SMCB) is one such company, with public share ownership of only 1.32%, well below the IDX minimum requirement of 7.5%. This study aims to identify the strategic factors affecting SMCB, formulate alternative corporate strategic responses, and determine the most appropriate strategy. A qualitative case study approach was adopted using semi-structured interviews with six subject matter experts and secondary data from corporate reports, capital market regulations, and relevant literature. The data were analysed using the IFE Matrix, EFE Matrix, IE Matrix, SWOT Matrix, Grand Strategy Matrix, and Quantitative Strategic Planning Matrix (QSPM). The analysis generated three strategic alternatives: increasing the free float, establishing a strategic investor partnership, and pursuing voluntary delisting. The QSPM results identified voluntary delisting as the preferred strategy, with the highest Sum Total Attractiveness Score (STAS) of 5.85. The findings suggest that compliance with free float requirements in companies with concentrated ownership should be addressed as a corporate strategy issue rather than solely as a regulatory compliance obligation.
